Styret har det overordnede ansvaret for selskapets strategi og styring, mens den daglige ledelsen har ansvar for den operative virksomheten. Ledergruppen f\u00f8lger opp strategiske prioriteringer og rapporterer regelmessig til styret.<\/p>\n\n\n\n<p>Medlemmer av selskapets styre best\u00e5r av eierrepresentanter og ansattrepresentanter. Det er de ansatte som selv velger ansattrepresentanter, og eierne velger egne eierrepresentanter.<\/p>\n\n\n\n<p>Ved sammensetning av styret legges det vekt p\u00e5 relevant kompetanse, erfaring og kontinuitet. Styrets leder har ansvar for \u00e5 lede styrets arbeid og sikre at styret ivaretar sitt ansvar, og har ingen operativ rolle i selskapets daglige drift.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\" id=\"h-styrets-rolle-i-baerekraftarbeidet\">Styrets rolle i b\u00e6rekraftarbeidet<\/h3>\n\n\n\n<p>Styret har et overordnet ansvar for \u00e5 f\u00f8lge opp selskapets arbeid med b\u00e6rekraft. Status og utvikling innen sentrale b\u00e6rekrafttemaer inng\u00e5r som del av styrets ordin\u00e6re virksomhetsoppf\u00f8lging.<\/p>\n\n\n\n<p>Styret er orientert om arbeidet med b\u00e6rekraftrapporteringen og behandler rapporten som del av sin overordnede oppf\u00f8lging av selskapet. \u200bI\u00a0l\u00f8pet av 2022 ble Mills\u2019\u00a0b\u00e6rekraftstrategi revidert, med mer\u00a0ambisi\u00f8se og konkrete m\u00e5lsetninger.\u00a0Den nye strategien gjelder til og med\u00a02025. Prosessen var bredt forankret i\u00a0ledelse og \u00f8vrig organisasjon.\u00a0Strategien er vedtatt i selskapsledelsen,\u00a0samt i konsernledelsen (Agra).\u00a0<\/p>\n\n\n\n<h3 class=\"wp-block-heading\" id=\"h-delegering-av-ansvar-og-operativ-oppfolging\">Delegering av ansvar og operativ oppf\u00f8lging<\/h3>\n\n\n\n<p>Det operative ansvaret for selskapets b\u00e6rekraftarbeid er delegert til b\u00e6rekraftsjefen. De vesentlige b\u00e6rekraftsomr\u00e5dene ivaretas av respektive fagansvarlige i organisasjonen.<\/p>\n\n\n\n<p>B\u00e6rekraftsjefen har ansvar for \u00e5 integrere b\u00e6rekraft i virksomhetens strategi, m\u00e5l og daglige drift. Ledergruppen har ansvar for \u00e5 sikre at b\u00e6rekraftperspektivet er forankret og ivaretatt i selskapets overordnede styring og i operasjonelle beslutninger. \u200b<\/p>\n\n\n\n<h3 class=\"wp-block-heading\" id=\"h-vesentlige-temaer\">Vesentlige temaer<\/h3>\n\n\n\n<p>Mills har i rapporterings\u00e5ret 2025 ikke gjennomf\u00f8rt en ny vesentlighetsanalyse. Vesentlige temaer for rapporteringen er basert p\u00e5 en dobbel vesentlighetsanalyse gjennomf\u00f8rt i 2024 i forbindelse med revisjon av selskapets overordnede strategi, samt p\u00e5f\u00f8lgende vurderinger gjort av ledelsen.<\/p>\n\n\n\n<p>Den tidligere analysen tok utgangspunkt i virksomhetens p\u00e5virkning p\u00e5 mennesker, milj\u00f8 og samfunn, identifiserte risikoer og muligheter, samt dialog med relevante interessenter. Resultatene fra analysen har v\u00e6rt lagt til grunn for videre utvikling av selskapets strategiske prioriteringer.<\/p>\n\n\n\n<p>I 2025 har de vesentlige temaene blitt bekreftet gjennom strategiarbeid, l\u00f8pende oppf\u00f8lging av b\u00e6rekraftarbeidet og ledelsens vurdering av hvor Mills har st\u00f8rst faktisk og potensiell p\u00e5virkning.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\" id=\"h-krav-til-leverandorer\">Krav til leverand\u00f8rer<\/h3>\n\n\n\n<p>Mills stiller krav til nye leverand\u00f8rer gjennom selskapets Code of Conduct, som omfatter milj\u00f8messige og sosiale forhold, herunder arbeidsforhold, menneskerettigheter og etiske retningslinjer. Nye leverand\u00f8rer forventes \u00e5 etterleve kravene i Code of Conduct. Som del av leverand\u00f8roppf\u00f8lgingen benytter Mills Sedex som verkt\u00f8y for \u00e5 innhente og vurdere informasjon om leverand\u00f8renes praksis knyttet til milj\u00f8 og sosiale forhold. Dette gir grunnlag for vurdering av nye leverand\u00f8rer og videre dialog der det er behov.<\/p>\n\n\n\n<p><\/p>\n\n\n\n<h2 class=\"wp-block-heading\">\u00d8konomisk
